THIS TERMS OF USE AGREEMENT (the "Agreement") constitutes a legally binding agreement by and between Creativecue, a company organized under the laws of India ("Creativecue") & registered in India abiding Indian Laws and the client, whether personally or on behalf of an entity ("Client"), with regard to access and use of Creativecue's website: (https://www.creativecue.co "Website") and any other media form, channel, mobile website or mobile application related, linked or otherwise connected thereto.
1. Intellectual Property Rights
Unless otherwise indicated, the Website is the property of Creativecue and all source code, databases, functionality, software, website designs, audio, video, text, photographs and graphics of any nature and regardless of format (collectively the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned and controlled by Creativecue and are protected by copyright and trademark laws. The Content and Marks are provided "As-Is" for your information and personal use only.
2. Ownership of Materials
All design and original source files created on Client's behalf ("Projects") belong to Client, and Client shall be the sole owner of the copyright for all Projects. Client warrants that any materials provided to Creativecue are owned by Client and do not infringe on any third party's rights. Creativecue reserves the right to share the Client's design work publicly (social media, website, etc.) unless agreed upon as stated in section 18.
3. Third-Party Fonts
In the event that any Project incorporates fonts that require a commercial license ("Third-Party Font(s)"), Creativecue will inform Client in writing. Client assumes all responsibility for purchasing required licenses for any Third-Party Fonts incorporated into a Project.
4. User Representations
By using the Website, Client represents and warrants that: Client has the legal capacity and agrees to comply with these Terms of Use; Client is not a minor; Client will not access the Website through automated means; Client will not use the Website for any illegal purpose; Client's use will not violate any applicable law or regulation.
5. Prohibited Activities
Client shall not access or use the Website for any purpose other than that for which it is made available. Client agrees to refrain from: unauthorized use, data retrieval, circumventing security features, unauthorized framing, interfering with the Website, competing with Creativecue, reverse engineering software, harassment, copying software, uploading viruses, or disparaging Creativecue.
6. Client Feedback
Any questions, comments, suggestions or other feedback ("Submission") shall be the sole property of Creativecue. Creativecue shall be the sole owner of all rights related to the Submission except to the extent that rights are granted to Client under Ownership of Materials.
7. Management and Oversight
Creativecue reserves the right to monitor the Website for violations and take appropriate legal action. Creativecue reserves the right to restrict or deny access to the Website at its sole discretion, without notice or liability to Client.
8. Privacy Policy
By using the Website, Client agrees to be bound by the Privacy Policy. Creativecue does not knowingly accept information from individuals under 18. Upon receiving knowledge that an individual under 13 has provided information without parental consent, Creativecue shall delete that information.
9. Returns and Refunds
Due to the nature of the service, no refunds are allowed. To cancel subscription, email team@creativecue.co. Creativecue reserves the right to deny refunds at its discretion. If a refund is approved during the first month, all materials produced remain Creativecue's ownership and cannot be used by Client.
10. Modification
Creativecue reserves the right to change, alter, modify, amend or remove anything on the Website at its sole discretion. Creativecue may modify or discontinue all or part of the Website without notice or liability to Client.
11. Connection Interruptions
Creativecue does not guarantee the Website will be available at all times. Client agrees that Creativecue shall not be liable for any loss, damage or inconvenience caused by inability to access the Website during interruptions.
12. Governing Law
These Terms of Use shall be governed by and construed in accordance with the laws of Uttar Pradesh, India without regard to conflict of law principles.
13. Litigation
Any legal action shall be brought in the Indian District Court for the District of Uttar Pradesh. The parties consent to personal jurisdiction in said courts and waive all defenses of lack of personal jurisdiction.
14. Disclaimer
The Website is provided on an as-is, as-available basis. Creativecue disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. Creativecue makes no warranties about accuracy or completeness of content.
15. Limitations of Liability and Indemnification
Creativecue and its directors, employees, members, contractors or agents shall not be liable for any direct, indirect, consequential, incidental, special or punitive damages. Client agrees to defend, indemnify and hold harmless Creativecue from any loss, damage, liability, claim or demand.
16. Electronic Communications
Client consents to receive electronic communications and agrees that all agreements, notices, disclosures and other communications satisfy any legal requirement that such communications be in writing.
17. Showcasing Design Work
Creativecue reserves the right to showcase completed projects in portfolios, case studies, and marketing materials unless Client explicitly requests confidentiality in writing.
18. Referrals
Client may participate in Creativecue's referral program. Terms and conditions of the referral program are subject to change at Creativecue's discretion.
